1. Introduction and Acceptance
These Terms of Use ("Terms") constitute a legally binding agreement between you ("Customer", "User", "You") and Braas Technologies Ltd. ("Braas", "We", "Us"). By creating an account, funding your wallet, or booking a stay through our platform, you expressly agree to comply with these Terms and our Privacy Policy.
If you do not agree with any part of these Terms, you must discontinue the use of our services immediately.
2. The Service
Braas provides a hotel and apartment booking platform that grants access to short-stay accommodations in partner hotels and apartments ("Host Properties") in hourly blocks or defined time buckets. Braas acts as an intermediary between you and the Host Property.
3. Payment, Wallet, and Financial Terms
3.1. Wallet System & Validity
Credit Purchase: Services on Braas are paid for using pre-purchased wallet credits loaded into your in-app wallet.
Wallet Validity: Your wallet balance is valid for two (2) years from the date of the last top-up.
Renewal: If you top up your wallet with any amount before the expiration date, the validity of your entire existing balance (including previously deposited funds) is automatically extended for another 2 years.
Expiration: In accordance with our inactive account protocol, any balance remaining in a wallet that has not been topped up or utilized for a continuous period of 2 years will be deemed expired and forfeited.
3.2. Mandatory Caution Deposit
Minimum Balance: To maintain an active membership and booking capability, you are required to maintain a minimum wallet balance of NGN 50,000 at all times.
Security Deposit: This NGN 50,000 acts as a Caution Deposit. It cannot be used to pay for booking fees but is retained to cover potential liabilities, including property damage, theft, or unpaid overstay charges.
Refund: This deposit is fully refundable upon the cancellation or permanent deletion of your Braas account, provided there are no outstanding liabilities or disputes with a Host Property.
4. Booking and Cancellation Policy
4.1. Booking Rules
Identification: In strict compliance with the Money Laundering (Prohibition) Act and Nigerian hotel regulations, you must present a valid Government-issued ID (International Passport, NIN, Voter’s Card, or Driver’s License) on sign up to Braas for kyc. The hotel may request for a Government-issued ID physically or verify the picture of the customer shown on the app matches the customer physically present at the hotel for check-in.
Host Policy Primacy: to the specific "House Rules" of the Host Property (e.g., no smoking, no pets). In the event of a conflict between Braas's general usage terms and the Host Property's specific safety/conduct rules, the Host Property's rules shall prevail.
4.2. Cancellation & Refunds
To ensure flexibility while protecting our partners' inventory, the following cancellation terms apply:
Standard Cancellation: Bookings cancelled at least 24 hours before the scheduled check-in time are refundable at 100% to your Braas wallet.
Late Cancellation: Bookings cancelled between 24 hours and 2 hours before check-in will attract a penalty charge of 20% of the booking value.
Last-Minute Cancellation: Cancellations made less than 2 hours before check-in are non-refundable.
No-Show: If you fail to check in without prior notification, the booking will be treated as a "No-Show" and fully charged.
5. Overstay and Check-Out Policy
5.1. Strict Time Slots
Braas operates on precise time blocks (e.g., 3-hour buckets). You must vacate the room and check out by the exact end time of your booking to allow for cleaning and the next guest's arrival.
5.2. Overstay Penalties
Grace Period: There is a strict 30-minute grace period for check-out.
Automatic Charge: Staying beyond the booked time will result in automatic charges deducted from your wallet:
0-60 Minutes Overstay: Charged at the standard Hourly Extension Rate (as defined in the app).
Beyond 1 Hour Overstay: If you overstay by more than 1 hour without prior approval, Braas reserves the right to charge the full 3-Hour Bucket Rate plus a penalty fee of NGN 20,000 for disrupting the Host Property's schedule.
Eviction: In cases of overstaying where the room is booked by another guest, the Host Property reserves the statutory right under the Hotel Proprietors Law to remove your belongings from the room to the front desk to facilitate the next check-in.
6. Conduct, Damage, and Theft
6.1. Acceptable Use
Prohibited Activities: The use of Braas accommodations for illegal activities, including but not limited to drug use, fraud (Yahoo/Yahoo+), violence or partying is strictly prohibited.
Noise & Nuisance: You must adhere to the Host Property's quiet hours. Disruptive behavior may result in immediate eviction without a refund.
6.2. Theft and Damages
Liability: You are financially liable for any damage to the Host Property's furniture, fixtures, or equipment, as well as any items missing from the room (e.g., towels, decor, electronics) during your stay.
Deduction: You expressly authorize Braas to deduct the cost of repairs or replacement directly from your Caution Deposit (Wallet Balance).
Escalation: If the cost of damage exceeds your wallet balance, you agree to pay the difference within 48 hours. Failure to do so will result in legal action and reporting to credit bureaus and security agencies.
7. Limitation of Liability and Indemnity
Intermediary Role: Braas is a technology platform. We do not own or manage the hotels. To the extent permitted by the FCCPA 2018, we are not liable for any accidents, injuries, or third-party disputes that occur within the Host Property premises. Such claims must be directed to the Host Property.
Indemnity: You agree to indemnify and hold Braas harmless from any claims, losses, or legal fees arising from your violation of these Terms, your damage to a Host Property, or your violation of any laws during your stay.
8. Governing Law and Dispute Resolution
Law: These Terms are governed by the laws of the Federal Republic of Nigeria.
Dispute Resolution: Any dispute arising from these Terms shall first be attempted to be settled amicably. If amicable settlement fails within 30 days, the matter shall be referred to mediation at the Lagos Multi-Door Courthouse (LMDC).
Changes to Terms
Braas reserves the right to modify these Terms at any time. Significant changes (e.g., to pricing or cancellation policies) will be communicated to you via email or in-app notification 7 days before implementation.
